General Meeting of Shareholders (GMS)

The General Meeting of Shareholders (GMS) is the highest organ in the Company that has authority that is not given to the Board of Directors and Board of Commissioners within the limits specified in the Law and/or Articles of Association as stipulated in Article 1 number 4 of Law No. 40 of 2007 concerning Limited Liability Companies.

Decisions taken in the GMS must be entirely based on the interests of the Company in the long term and short term. The GMS and/or Shareholders may not intervene in the duties, functions and authorities of the Board of Commissioners and Board of Directors, without reducing the authority of the GMS to exercise its rights in accordance with the Articles of Association and laws and regulations; including to replace or dismiss members of the Board of Commissioners and/or Board of Directors at any time.

The GMS that have been implemented by the Company during the last 3 years are as follows:
