Board Manual
This Board Manual was prepared in line with the implementation of Good Corporate Governance (GCG) in the Company which requires effective working relationship arrangements between Company Organs including the Board of Commissioners and Directors, namely as follows:
- Intended to explain the standard work pattern between the Board of Commissioners and Directors in carrying out their duties to create professional, transparent, effective and efficient management of the Company.
- Instructions for work procedures for the Board of Commissioners and Directors which explain the stages of activities in a structured, systematic, easy to understand and can be carried out consistently, so that they become a reference for working relationships for the Board of Commissioners and Directors in carrying out their respective duties as an effort to achieve the Company's optimal vision and mission .
- Prepared based on applicable laws and regulations, Articles of Association, corporate legal principles, Shareholder directives and GCG best practices.
- It is dynamic and always develops in accordance with changes that occur and are faced by the Company. Therefore, if deemed necessary, an evaluation of the Board Manual can be carried out in order to further improve it. Board Manual development can always be carried out according to the Company's needs, changes made must be based on applicable regulations and not violate the provisions in the Articles of Association and based on agreement between the Board of Commissioners and the Board of Directors.
Bearing in mind that the Board Manual is a compilation of corporate legal principles, in its implementation it must always refer to the applicable laws and regulations. Various detailed provisions contained in the Articles of Association, Shareholder directions stipulated in the General Meeting of Shareholders (GMS) and various other legal provisions remain binding even though they are not specifically described in this Board Manual. The principles of good faith, full responsibility, fiduciary duties, skill and care attached to the holders of the positions of the Board of Commissioners and Directors are general principles that must continue to be respected by the two Company Organs, which are tasked with supervising and managing the Company.
